Terms of Use

1. Who We Are

FlowTex Energy, LLC is an independent oil and gas producer based in Austin, Texas, managing a portfolio of producing wells and drilling programs across Texas. We also offer qualified investors the opportunity to participate in joint ventures and other private placements. Information about those offerings is provided for eligible investors only and is subject to the disclaimers in Section 4.

2. Eligibility

• The Services are intended for adults. You must be at least 18 years old and legally able to enter into contracts to use them.
• Access to the Bedrock investor portal and to investment opportunities requires a completed investor profile. Participating in any offering additionally requires meeting eligibility requirements under federal and state securities laws, including accredited-investor status where applicable.
• By using the Services, you confirm that the information you provide to us is accurate and that you will keep it current.

3. Acceptable Use

You agree not to:

• Use the Services in violation of any applicable law or regulation, including securities, communications, and privacy laws.
• Attempt to interfere with, disable, or gain unauthorized access to the Services, their systems, or their security features.
• Submit false, misleading, or fraudulent information, or impersonate any person or entity.
• Use our name, logo, or materials in a way that suggests endorsement or sponsorship without our written permission.
• Scrape, bulk-download, or resell content or data from the Services without our written permission.

We may suspend or restrict access to the Services if we reasonably believe these Terms have been violated or that your use harms us, our partners, or other users.

4. Investment Disclaimers

• Not investment, legal, or tax advice. Content on the Services is provided for informational purposes only and is not a recommendation to buy, sell, or hold any security or investment. You should consult your own financial, legal, and tax advisors before making any investment decision.
• No offer or solicitation. Nothing on the Services is an offer to sell or a solicitation of an offer to buy a security in any jurisdiction where such an offer would be unlawful. Any offering is made only through definitive offering documents provided to eligible investors.
• Risk of loss. Investments in oil and gas projects and private joint ventures are speculative and involve a high degree of risk, including the possible loss of your entire investment. Past production, past drilling success, and past performance do not guarantee future results.
• Forward-looking statements. Statements about future production, revenue, projects, or opportunities are forward-looking and subject to risks and uncertainties. Actual results may differ materially, and we undertake no obligation to update them.
• No fiduciary relationship. Using the Services does not create a fiduciary, advisory, or agency relationship between you and FlowTex.

5. Text Messaging (SMS/MMS) Terms and Conditions

Flowtex Energy, LLC and its affiliates (“Flowtex,” “we,” “us”) offer a mobile messaging program (the “Program”). By opting in to or participating in the Program, you accept and agree to these messaging terms, which form a legal agreement between you and us. Please read them carefully.

• Opt-in. You join the Program by affirmatively opting in at the mobile number you provide — through a form on our website or investor portal, through a document or agreement in which you request text communications, by texting a keyword to one of our numbers, or by otherwise giving us express written consent to text you. You may be asked to reply to a confirmation message. However you opted in, these terms govern your participation. Consent to receive text messages is not a condition of any purchase, investment, or other transaction with us. We do not text numbers obtained from purchased, rented, or third-party lists.
• What we send. Messages relate to your investment, account, and partner relationship with us — including transaction and funding updates, document and signature requests, scheduling, offering announcements, and responses to your inquiries.
• Message frequency. Message frequency varies. We do not send a fixed number of messages per day or month; frequency depends on your account activity and level of interaction with us.
• Cost. We do not charge you for Program messages, but message and data rates may apply. Charges are determined by your wireless carrier and your plan, not by Flowtex.
• How to opt out. You may stop receiving messages at any time by replying STOP, UNSUBSCRIBE, REMOVE, CANCEL, END, QUIT, OPT OUT, or ARRET to any message from us. You may receive one final message confirming your opt-out. These reply keywords are the designated methods of opting out of the Program. If you wish to opt out by another method, or if a keyword does not appear to have worked, contact us at admin@flowtexenergy.com or (512) 229-1596 and we will honor the request. Opting out of the Program does not end other communications you have agreed to receive from us, such as email or required account and legal notices.
• Help. Reply HELP to any message for assistance, or contact us at admin@flowtexenergy.com or (512) 229-1596. For platform-level support, you may also contact our messaging service provider; we will supply their current support contact on request.
• MMS. Where a message is sent as an MMS and your device or carrier does not support MMS, the Program will attempt to deliver it as an SMS instead. Not all content will render on all devices.
• Delivery and carriers. The Program is provided on an “as-is” basis. It may not be available in all areas and may stop working as a result of changes made by your wireless carrier or to your device, software, or coverage. We are not liable for any delay in or failure of delivery of any message, and carriers are not liable for delayed, undelivered, or misdirected messages.
• Participant requirements. You must own or control a wireless device capable of two-way messaging, use a participating wireless carrier, and subscribe to text messaging service. Not all carriers or plans support the Program. You must be at least 18 years old and must be the subscriber of, or have authority to use, the mobile number you provide. If you give up, change, or transfer that number, you agree to notify us promptly.
• Automated messaging. Some messages may be sent using automated technology. Nothing in these terms is an admission or representation that our messages are sent using an automatic telephone dialing system as that term is defined under applicable law, and you and we agree that the system we use to send Program messages is not such a system.
• Privacy. Information collected in connection with the Program is handled as described in our Privacy Policy at flowtexenergy.com/privacy.
• Changes. We may update these messaging terms from time to time by posting a revised version on this page. Your continued participation in the Program after we post a change constitutes acceptance of it.

6. Your Account and Portal Access

You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly at admin@flowtexenergy.com if you believe your account is no longer secure. We may suspend or close accounts that violate these Terms, and we may modify or discontinue the Services at any time.

7. Our Intellectual Property

The Services, including text, images, logos, design, data, and software, are owned by FlowTex or our providers and are protected by intellectual property laws. You may use them for your personal, non-commercial informational purposes only. You may not reproduce, distribute, modify, or create derivative works from them without our prior written permission.

8. Third-Party Links and Services

The Services may contain links to third-party websites and platforms. We do not control them and are not responsible for their content, policies, or practices. Your use of third-party services is subject to their own terms.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. SOME STATES DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWTEX AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES IS LIMITED TO $100. THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW SOME OF THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING FOR FRAUD OR WILLFUL MISCONDUCT.

11. Indemnification

You agree to indemnify and hold harmless FlowTex and its officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts. Participation in any specific investment offering may be subject to additional terms in the applicable offering documents, including arbitration or other dispute-resolution provisions that control over this section.

13. General Terms

• Changes to these Terms. We may update these Terms from time to time. The date at the top of this page reflects the last update. Material changes may also be communicated by email or through the Bedrock portal.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
• No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
• Relationship. These Terms do not create a partnership, joint venture, or agency relationship between you and FlowTex.
